MEDICAL SERVICES BROKERAGE CONTRACT

This contract outlines the terms and conditions of any medical package purchased from ILUS LIFE LTD.

It is important to thoroughly read these Terms & Conditions and any related documents before accepting them. By accepting these terms, you acknowledge that you are bound to comply with them.

ILUS LIFE LTD reserves the right to modify and alter the Terms & Conditions at any time without prior notice.

 

  1. CONTRACTING PARTIES

This Medical Services Brokerage Contract (“Contract”) is entered into on the date of signature by and between ILUS LIFE LTD and the undersigned Patient (“Patient”) with the mutual consent of both parties. By accepting this Contract, the Patient acknowledges and agrees to abide by its terms and conditions.

ILUS LIFE LTD reserves the right to modify the Contract as deemed necessary.

     2. SCOPE OF THE CONTRACT

2.1 This Contract governs medical consultation, with ILUS LIFE LTD serving as an intermediary company. The Contract outlines the arrangements for all necessary services, such as medical care, hospitalization, accommodation, travel, and transportation, as well as the pricing and payment terms for these services. ILUS LIFE LTD acts as an intermediary between the Patient and service providers, rather than a service provider itself.

2.2 The Patient agrees and acknowledges that they have received preliminary information about medical tourism from ILUS LIFE LTD and agree to comply with the terms of this Contract.

2.3 The Patient acknowledges that the services provided by ILUS LIFE LTD are intermediary in nature and agrees that any potential disputes arising from disruptions during the intermediary services, such as hospitalization, medical care, transportation, or accommodation, should be directed toward the actual service providers.

2.4 The Patient agrees and declares that they have provided accurate personal identification and contact information, that they have no health or travel restrictions, and that they will immediately and without delay compensate ILUS LIFE LTD for any loss resulting from inaccurate information. The Patient is solely responsible for any missing information or documents provided by them.

2.5 The Patient accepts that they will cover any additional costs incurred from missed or delayed transportation, in accordance with the information provided by ILUS LIFE LTD.

 

     3. PAYMENT TERMS

3.1 To receive the intermediary services from ILUS LIFE LTD, the Patient must make a non-refundable advance payment of between 10% and 20% of the total cost. This payment will reserve the dates for the Patient's medical arrangements, including health, accommodation, and transportation services, provided by the relevant companies or individuals. Failure to make the advance payment will not impose any obligations on ILUS LIFE LTD.

3.2 Any services not included in this Agreement or services provided after the intermediary medical services, will be subject to additional fees. All expenses and costs arising from this Agreement will be the responsibility of the Patient, and in case of default, interest on arrears may be charged.

3.3 The 10%-20% advance payment mentioned in 3.1 is only refundable if the Patient provides a medical report proving they are not medically fit for the agreed treatment. The payment may be transferred to another person with the consent of all parties involved.

3.4 The remaining balance for all services covered by the intermediary service must be paid to ILUS LIFE LTD before the day of the medical procedure. No refunds will be given if the Patient fails to sign any required contracts or documents from the service providers, fails to fulfil their obligations under this Agreement, or in similar cases. If the Patient causes additional costs for ILUS LIFE LTD by not being able to utilize the agreed travel, accommodation, transportation, or health services, they must pay the extra cost immediately.

 

​     4. RIGHTS AND RESPONSIBILITIES OF ILUS LIFE LTD

4.1 ILUS LIFE LTD will serve as a facilitator for bariatric, aesthetic, dental, hair transplantation, and general surgery or general healthcare services, as well as for related accommodation, travel, and transportation services, which will be provided to the patient under this agreement. ILUS LIFE LTD will direct the patient to the relevant clinic or medical practitioner for the provision of healthcare services.

4.2 The patient agrees and acknowledges that ILUS LIFE LTD is only providing intermediary services and holds no legal obligation for the medical services provided. The patient agrees to indemnify ILUS LIFE LTD against any and all damages, monetary or otherwise, arising from the medical services provided. The patient understands that they are obtaining these services through ILUS LIFE LTD as an intermediary institution.

4.3 The patient must not engage in any actions that are inconsistent with this article and accepts that the service provider is solely responsible for the medical services and any additional services not covered by ILUS LIFE LTD. In the event that the patient takes negative action against ILUS LIFE LTD due to dissatisfaction with the medical services provided, the patient will be obligated to pay a penalty equivalent to the amount of compensation paid.

4.4 ILUS LIFE LTD strongly recommends that the patient take out insurance coverage for any risks or damages from accidents, and for the costs of treatment, before the agreement takes effect.

4.5 ILUS LIFE LTD cannot be held responsible for damages resulting from a failure to fulfil the agreement or from unforeseeable events such as force majeure. Force majeure, as defined by law, refers to extraordinary and unpredictable events that prevent the initiation, continuation, or termination of the agreement, even if all necessary precautions have been taken and the events are beyond the control of ILUS LIFE LTD.

 

     5. RIGHTS AND RESPONSIBILITIES OF THE PATIENT

5.1 As a facilitator, ILUS LIFE LTD will provide medical services, travel, accommodation, and transportation services to the patient.

5.2 The patient is required to accurately and thoroughly disclose their medical history by providing medical documentation and answering questions related to their health information.

5.3 The patient is responsible for making payments as specified in the agreement and will be held liable for any delays caused by them. If such delays result in additional costs or obligations for ILUS LIFE LTD, the patient must cover these expenses.

5.4 If the patient is under the age of 18, they must provide ILUS LIFE LTD with a means of direct communication with their legal representative.

5.5 The patient is responsible for covering any expenses related to a transfer to an agreed facility or mandatory accommodation provided by ILUS LIFE LTD.

5.6 By accepting this agreement, the patient agrees not to publicly criticize or attack ILUS LIFE LTD or any of its employees, partners, or associates in regard to the services provided by the Service Provider. As ILUS LIFE LTD cannot be held responsible for the medical treatments or procedures provided by the Service Provider, the patient agrees not to harm the reputation or image of ILUS LIFE LTD or its employees during or after the contract period. If the patient violates this clause, they must immediately remove the content at the request of ILUS LIFE LTD. If the content remains, the patient will be required to pay a penalty of 10,000 GBP to ILUS LIFE LTD, in addition to any other damages.

 

     6. Cancellation and Assignment of the Agreement

6.1 ILUS LIFE LTD reserves the right to cancel this Agreement at any time without reason. In case of cancellation by ILUS LIFE LTD, the Patient will receive a refund for the amount paid, excluding mandatory taxes, fees, and other expenses arising from legal obligations and expenses that have been paid to third parties and can be documented and cannot be refunded. The cancellation and change policies of the companies associated with flight, railway, and navigation tickets, and accommodation expenses previously purchased will still apply. If any penalties apply, they will be the responsibility of the Patient.

6.2 The Patient will be responsible for covering the bank transfer fee for refunds made through a bank. ILUS LIFE LTD does not have the right to compensation for this. ILUS LIFE LTD cannot be held accountable for any delays in refunding fees paid by credit card.

6.3 If one party breaches the Agreement, the non-breaching party must request the elimination of the breach within 7 working days through written notice by a notary public or e-mail. If the breach cannot be eliminated within the specified time period, the non-breaching party has the right to cancel the Agreement.

6.4 For the fulfilment of the Agreement, ILUS LIFE LTD reserves the right to partially or fully assign the Agreement to real and legal entities with which it has contracted. In such cases, the successor for the assigned parts will be the related real person or legal entity.

 

      7. CONFIDENTIALITY AGREEMENT

7.1 "Confidential Information" that may be exchanged between the Parties refers to any and all information owned by the Party possessing it, which constitutes a trade secret and/or is under their control. This includes, but is not limited to, design information, technical information, trade secrets, ideas and inventions, projects, drawings, models, software programs, algorithms, software modules, program source code, specifications, product plans and technologies, software user manuals, marketing information, patient lists, estimates and evaluations, financial reports, contract terms, records, and all information and materials related to the aforementioned Party's business, all types of products, goods, and services related to them, their shareholders, affiliates, other individuals licensed by them, their patients, and consultants, methods used to obtain this information, trade secrets, any type of formula, know-how, patent, invention, design, patient lists, budget, business development, marketing, and pricing plans and strategies, and all similar information.

7.2 ILUS LIFE LTD and the Patient agree and acknowledge that the information provided to them is confidential and that they will keep this information confidential in accordance with the Personal Data Protection Law and will not share the information with any organization or institution without the other Party's approval. ILUS LIFE LTD is not legally obliged or liable for sharing information in cases where it is a legal obligation to do so in accordance with legal regulations or in cases where it is necessary for the performance of this Agreement.

7.3 The Patient may not make any adjustments on their own or on behalf of another person by bypassing ILUS LIFE LTD and directly communicating with the individuals and companies that provide medical services to them. The Patient may not disclose any text messages, calls, conversations, or images between themselves and ILUS LIFE LTD on any platform or anywhere without written permission. In the event that the Patient breaches this clause, they agree and acknowledge that they will be obligated to pay 10,000.00 GBP as a penalty in cash and immediately, in addition to all damages.

 

     8. OTHER TERMS

8.1 Children under 6 years of age are not provided with separate beds in hotel accommodations.

8.2 Children over 2 years old are subject to a fee for transportation as they are required to have a seat.

8.3 The Patient is responsible for keeping track of and protecting their belongings during the service period. ILUS LIFE LTD is not responsible for lost, stolen, or damaged belongings, nor is it liable for any incidents involving third-party establishments such as hotels or transfers.

8.4 Due to force majeure or operational reasons, ILUS LIFE LTD reserves the right to make adjustments or cancellations to its program, accommodations, and transportation. In such cases, the reservation holder's approval is not required and they are not entitled to compensation.

8.5 The Patient is notified and agrees that the departure time or type of plane may change due to circumstances with the airline company when travelling by air.

8.6 A passport and, depending on the country, a visa is required for foreign travel, including for babies. The Patient acknowledges that they have been informed of this by ILUS LIFE LTD.

8.7 The Patient is responsible for paying any additional service fees, excluding the specified accommodation, in cash during check-out from the hotel.

8.8 The Patient must arrive at the meeting point 30 minutes before road transport and 2 hours before air transport.

8.9 Seat numbers are not guaranteed and will be assigned by the transfer guide in the vehicle at the time of departure.

8.10 Pets are not permitted on transportation or in the facility.

 

     9. APPLICABLE LAW AND JURISDICTION

9.1 The terms of this Agreement are governed by Turkish law. Any disputes arising from this Agreement will be resolved by the courts and execution offices in Istanbul and/or Izmir.

9.2 Any changes or discrepancies in the provisions of this Agreement will not render any other provisions invalid. The Parties are responsible for obtaining the necessary stamps for their respective copies of this Agreement.

 

     10. EVIDENTIAL AGREEMENT

10.1 The Patient acknowledges and agrees that the records and books kept by ILUS LIFE LTD shall serve as evidence in the event of any disputes arising from this Agreement and that the Patient will not contest these records or books, nor will they present any other evidence.
